NON-EXCLUSIVE MUSIC LICENSE AGREEMENT (UNLIMITED LEASE – 10 BEATS COLLECTION)

This Non-Exclusive Music License Agreement (“Agreement”) is made and entered into by:

Nicolas de Almeida Silva, also known as 16N, Producer and Founder of Nexus Sounds (“Licensor”), who hereby grants the usage rights described below to the purchasing artist (“Licensee”).

1. GRANT OF LICENSE

1.1. The Licensor hereby grants the Licensee a non-exclusive, unlimited license to use the collection of ten (10) instrumental beats listed below, all fully composed and produced by the Licensor:

• THE BEAST | Boom Bap Instrumental 
• FEVER | Afrobeat | Omah Lay x Rema Type Beat 
• CONSISTENCY | Afrobeat | Omah Lay x Rema Type Beat 
• STASIS | Hoodtrap Instrumental 
• HIRELING | Hoodtrap Instrumental

1.2. This Agreement grants usage rights for each of the above-listed instrumentals under the terms and conditions described herein.

2. SCOPE OF USE

2.1. This is a non-exclusive license, meaning the Licensor may continue to license and sell any or all of the above-listed beats to other clients.

2.2. The Licensee is permitted to use each licensed beat to: 

• a) Record vocals over the beat;
• b) Distribute unlimited copies of the derived songs;
• c) Stream the songs online without limitation;
• d) Produce unlimited music videos;
• e) Perform the songs live, with or without charging admission;
• f) Use the beats on unlimited radio stations.

3. DELIVERABLES

3.1. Upon receipt of payment, the Licensor shall deliver the High-Quality MP3 and WAV files for each of the ten instrumentals.

4. RESTRICTIONS

4.1. The Licensee shall not:

• a) Register or claim authorship of any instrumental beat;
• b) Resell, donate, sublicense, or redistribute any of the beats to third parties;
• c) Use any of the beats in projects that promote illegal activity, discrimination, or hate.

4.2. This license does not transfer ownership of any original instrumental. It grants only the usage rights expressly described in this Agreement.

5. COPYRIGHT AND CREDITS

5.1. Ownership and copyright of all instrumentals remain exclusively with the Licensor (Nicolas de Almeida Silva / 16N).

5.2. The Licensee agrees to credit the producer as “Prod. 16N” on all digital platforms, streaming services, and social media.

5.3. For copyright registration and performance royalties (e.g., ASCAP, BMI, ECAD), authorship of each derived song should be divided: 50% to the Licensor (instrumental composer) and 50% to the Licensee (lyrics/vocals).

6. VALIDATION AND PAYMENT

6.1. The price and payment method for this license are established at the time of purchase, as itemized in the corresponding invoice.

6.2. VALIDITY CONDITION: This license agreement is only legally valid and eAective when presented alongside the respective Invoice Order (Receipt/Order Invoice) issued by Nexus Sounds or an authorized sales platform, proving full payment of the agreed amount.

6.3. The transaction number and data contained in the Invoice Order serve as a unique identifier to confirm that the Licensee holds the usage rights for the 10 (ten) instrumentals listed here.

7. TERM AND GOVERNING LAW

7.1. This license is valid indefinitely (Life of Copyright), provided the Licensee complies with these terms.

7.2. This Agreement is governed by the laws of Brazil. Any dispute shall be resolved in the District Court of Uberaba, Minas Gerais, Brazil.

7.3. The Licensor certifies that he is the sole creator and legal copyright holder of all ten instrumentals licensed under this Agreement.
